ENERGY LAW

  • Drafting a legal opinion for major oil companies in South Africa supporting a new industry-specific approach to the decommissioning and remediation of bulk petroleum storage facilities in South African ports pursuant to the amendment of Part 8 of the Environmental Impact Assessment Regulations of 2014; see article: LEGAL FRAMEWORK FOR DECOMMISSIONING AND REMEDIATION OF DOM PEDRO TERMINAL.

  • Drafting the Terms of Reference as a planning tool for the Task Team set up by major oil companies in South Africa to manage and control the decommissioning and remediation of a bulk petroleum storage facility in a South African port;

 

  • Drafting a management agreement for a major oil company based on the common user model to manage and control a bulk storage facility for bunkers in a South African port to facilitate the storage and delivery of bunkers to the shipping clients of other participating oil companies;

 

  • Drafting a suite of agreements amongst major oil companies to manage and control the storage and delivery of bunkers to the shipping clients of other participating oil companies not based on the common user model;

 

  • Advising on a number of matters for a foreign state-owned enterprise in the upstream oil and gas industry, namely:

 

  • Reviewing a multi-party agreement regarding the use and sale of geological data;

 

  • Reviewing a technical support agreement regarding subsurface aspects of an offshore gas field to prepare a reserves and resources report;

 

  • Reviewing a multi-party cooperation agreement suspending mining activities to allow construction of facilities in the area;

 

  • Advising on the withdrawal and liability for accrued costs under a joint operating agreement in the upstream oil and gas industry;

 

  • Devising a legal compliance framework for the offshore production of gas project;

 

  • Analysis of the deemed contractual transfer of exploration rights in terms of a foreign law jurisdiction where the holder of such rights had failed to timeously exercise an option to participate in a subsequent renewal period and the statutory provisions regulating such granting (transfer) of rights;

 

  • Analysis of the legitimacy of cash calls in terms of a joint operating agreement in an upstream oil and gas project between participating parties in circumstances where the operator incurs certain over-expenditures in line items of an approved works programme without the necessary authority.

 

  • Drafting outline of transaction and action chain of operations from inception to completion of the development of a gas-to-power project in South Africa;

 

  • Drafting outline of scope of legal work required to support the development of a gas-to-power plant in South Africa;

 

  • More than 30 years of experience in drafting the commercial contracts and effecting the conveyancing registrations required to develop downstream petroleum service stations for a major oil company in South Africa.
